PARTIES & AGREEMENT TERM

This Service Agreement ("Agreement") is made and entered into as of the start date of execution, by and between [provider_name] ("Provider"), having an address at [provider_address], and [client_name] ("Client"), having an address at [client_address].

TERM: This Agreement shall commence on [start_date] and continue on an ongoing basis until terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by providing 30 days' written notice to the other party.

SCOPE OF SERVICES

SCOPE OF SERVICES: Provider agrees to perform the following services for Client in a professional and workmanlike manner in accordance with standard industry practices: [scope_of_work]. Any modifications or additions to the services must be agreed to in a written amendment signed by both parties.

COMPENSATION & PAYMENT TERMS

COMPENSATION: Client shall pay Provider a flat fee of [payment_rate] for all services rendered under this Agreement. INTELLECTUAL PROPERTY RIGHTS

INTELLECTUAL PROPERTY: Upon receipt of full payment, all intellectual property rights, titles, and interests in any work product, designs, code, or deliverables created by Provider under this Agreement shall be assigned to and owned exclusively by Client. Provider retains no rights in the final work product.

CONFIDENTIALITY & PROTECTIONS

CONFIDENTIALITY: During the term of this Agreement and thereafter, both parties agree to hold in strict confidence and not disclose or use any proprietary business methods, client data, or trade secrets of the other party without prior written consent, except as required by law.

GOVERNING LAW & CONTRACT INTEGRATION

GOVERNING LAW & JURISDICTION: This Agreement shall be governed by, and construed in accordance with, the laws of the State of Oregon. Any disputes arising under this Agreement shall be resolved in the courts of Oregon.

This Agreement constitutes the entire agreement between the parties and overrides all prior oral or written agreements.
