PARTIES & AGREEMENT TERM
This Service Agreement ("Agreement") is made and entered into as of the start date of execution, by and between [provider_name] ("Provider"), having an address at [provider_address], and [client_name] ("Client"), having an address at [client_address].

CONFIDENTIALITY: During the term of this Agreement and thereafter, both parties agree to hold in strict confidence and not disclose or use any proprietary business methods, client data, or trade secrets of the other party without prior written consent, except as required by law.
GOVERNING LAW & CONTRACT INTEGRATION
GOVERNING LAW & JURISDICTION: This Agreement shall be governed by, and construed in accordance with, the laws of the State of Maine. Any disputes arising under this Agreement shall be resolved in the courts of Maine.
This Agreement constitutes the entire agreement between the parties and overrides all prior oral or written agreements.
