PARTIES & POSITION APPOINTMENT

This Employment Contract ("Agreement") is made and entered into as of the date of signing, by and between [employer_name] ("Employer"), and [employee_name], residing at [employee_address] ("Employee"). Employer hereby employs Employee in the position of [job_title]. Employee accepts such employment and agrees to perform the duties and responsibilities customary to this role and assigned by Employer.

TERM OF EMPLOYMENT & TERMINATION

TERM OF EMPLOYMENT (AT-WILL): The employment relationship between Employer and Employee is at-will. Either party may terminate the employment relationship at any time, for any lawful reason, with or without cause, by providing 14 days' written notice to the other party. The presumption of at-will employment is maintained in accordance with the laws of the State of Kentucky.

COMPENSATION & PAYMENT DETAILS

COMPENSATION: Employer shall pay Employee a base annual salary of [pay_rate] (exempt status) as compensation for services. Wages shall be paid on a biweekly basis, subject to all standard state and federal tax withholdings.

CONFIDENTIALITY & INTELLECTUAL PROPERTY

CONFIDENTIALITY: During and after the term of employment, Employee shall hold in strict confidence and shall not disclose, copy, or use any trade secrets, proprietary business methods, client lists, or financial information of the Employer without the prior written consent of the Employer.

RESTRICTIVE COVENANTS

NON-COMPETE COVENANT: No non-compete covenant is included in this Agreement. Employee remains free to pursue competitive employment upon termination of this relationship.

NON-SOLICITATION: For a period of one (1) year following the termination of employment, Employee shall not directly or indirectly solicit, recruit, or attempt to hire any employee of the Employer, nor attempt to solicit, divert, or entice away any clients, customers, or business partners of the Employer.

GOVERNING LAW

GOVERNING LAW & JURISDICTION: This Agreement shall be governed by, and construed in accordance with, the laws of the State of Kentucky. Any disputes arising under this Agreement shall be litigated or arbitrated in the courts of Kentucky.

This Agreement constitutes the entire agreement between the parties regarding the employment relationship and overrides all prior oral or written agreements.
